Code of Conduct for Business Partners

1.Aim

In order to ensure the sustainable and healthy development of Greenbatt Company and business partners, and to establish compliance standards and ethical requirements suitable for the business, the Code of Conduct for Business Partners (hereinafter referred to as the "Code") is specially formulated and released. .

2.Scope of Application

This "Code" applies to all partners of Greenbatt Company and their employees.Greenbatt Partners are any party that provides products or services to Greenbatt, and any party that sells Greenbatt products.

3.Abide by the Law

1) General Legal Compliance

Business partners should operate in a law-abiding manner and comply with applicable laws and regulations in the place of registration and business location to ensure that legal compliance issues will not affect the cooperation with Greenbatt.

2)Anti-commercial Bribery

Partners shall not directly or indirectly give, promise or accept bribes to government officials, party and government organizations, and other business entities for the purpose of obtaining business, or attempting to influence decision-makers’ decisions, including bribes for improper or illegal acquisitions. Provide any over-standard and inappropriate gifts, business receptions, employment opportunities, etc. Bribes must not be made through Greenbatt employees or third parties.

3)Labor Protection

Partners shall create a healthy, fair and dignified work environment for their employees, and ensure that employees are not subject to any discrimination or threats based on gender, religion, political affiliation, etc.

4)Government Customers

Partners should strictly comply with applicable government procurement and bidding laws when dealing with governments, public agencies or state-owned enterprises.

5)Safety and Environmental Protection

Partners should strictly implement national safety production and environmental protection laws and regulations, improve the company's safety and environmental protection management system, and avoid safety and environmental protection accidents.

6)Product Quality

Partners should improve the company's quality system, strengthen process control, strictly control the quality of each link, and provide high-quality products and services. In the process of marketing and publicity, it is not allowed to make false statements and exaggerate product functions.

7)Intellectual Property

Partners should strengthen the protection of their own trade secrets, patents and trademarks, regulate the use of other people's intellectual property rights in accordance with the law, and prevent infringement. Strictly abide by the laws and contract provisions on the protection of trade secrets, and shall not disclose or infringe on the trade secrets of partners.

8)Antitrust and Anti-Unfair Competition

Partners shall not monopolize the market or conduct unfair competition alone or with other partners. Prohibited behaviors include but are not limited to: market segmentation through contracts or collusion, fixing resale prices, bid rigging, bundling, abusing market dominance and other acts that infringe on user rights and interests.

4.Fair Business Practice

1) Provide Information Truthfully

Partners must ensure that all files provided to Greenbatt are true, legal and valid. If the files involve third-party confidential information, the partner guarantees and has obtained the authorization of the third party. At the same time, partners must ensure that all information provided to Greenbatt, including but not limited to orders, sales contracts, quotations, important company matters and changes, are true, accurate and complete.

2)Counterfeiting is Prohibited

Partners are prohibited from assisting Greenbatt seller in confirming false income, confirming income in advance, and deliberately delaying income confirmation through false projects, false increase in customer demand, false contracts, and provision of false orders. It is forbidden for partners to forge the Greenbatt company's seal and official letter documents through any behavior.

3)Lawful Acquisition and Use of Competitive Information

Partners shall not obtain and use the trade secrets or other confidential information of others in any unlawful or unethical manner, including but not limited to inappropriately collect or receive their own or third-party confidential information from customers, competitors' employees or other parties.

4)Prohibit Ultra Vires Promises

Partners shall not exceed their authority to promise unauthorized matters to the end user or any third party. At the same time, if a partner discovers that any Greenbatt employee has made an unauthorised commitment to them, they should directly refuse and report it to Greenbatt.

5)Prohibition of Defamation

Partners should adhere to the principle of integrity management, and shall not slander or slander the goodwill of Greenbatt Company, nor the goodwill of competitors. Partners are prohibited from making false or misleading statements about competitors or their products or services.

6)Bribery of Greenbatt Employees is Prohibited

Partners shall not bribe or convey improper benefits to Greenbatt employees, including but not limited to cash, negotiable securities and payment vouchers, in order to obtain improper benefits, maintain cooperation with Greenbatt. At the same time, it is forbidden to give Greenbatt employees inappropriate business etiquette or gifts, including but not limited to valuables, high-value cultural gifts, travel, high-standard reception, etc. If it will cause embarrassment to the people when the etiquette or gift is known to the public, then business etiquette or gift is appropriate.

7)Forbidden Relationship

Partners shall not allow current employees of Greenbatt and their families to participate in shares. If the current employees of Greenbatt Company or their major relatives are working for the partners, or serve as their employees, consultants, directors, executives or shareholders, etc., the partners should report to Greenbatt Company timely.

8)Intellectual Property and Confidential Information

Partners shall respect the intellectual property rights of Greenbatt, and at the same time, shall not disclose confidential information obtained during normal transactions with Greenbatt without permission.

5.Compliance management

1)Establish a Compliance System

Greenbatt encourages partners to establish their own compliance management systems to ensure that partners better comply with laws and regulations, perform legitimate business conduct and comply with Greenbatt's policies.

2)Passing on the Greenbatt Code of Conduct

Partners should pass this Code to their other partners, or develop similar normative documents that are no lower than the standards of this Code of Conduct.

3)Strictly Restrain Employees

Partners should strictly restrain their employees, abide by the business code of conduct formulated by the partners, and urge employees to abide by this Code at the same time.

6.Others

1)Consequences for Violating the Code

Any partner who violates any of the above codes of conduct will affect the cooperation and will be directly terminated by Greenbatt in serious cases. At the same time, Greenbatt Company reserves the right to investigate the partners for all losses caused to Greenbatt Company due to their violation of this Code.

2)Version Announcements and Updates

In order to make partners and more potential partners understand this "Code", Greenbatt will announce it on its official website (website: www.hnlddy.com).

This version of the "Code" will be released on December 5, 2021, and Greenbatt will reserve the right to make further supplements and revisions at any time, subject to the updated version on the website.

3)Complaint Path

If a partner has any questions about this Code, or discovers any violation of this Code based on good faith and reasonable suspicion, he or she may report the problem orally, in writing, or by email, in real name or anonymously. The Compliance and Risk Control Office and relevant departments will conduct investigations in accordance with relevant regulations and report the results. Relevant departments and employees should cooperate with compliance investigations.

Greenbatt Company solemnly promises that Greenbatt will keep the personal information of the whistleblower strictly confidential and only disclose it when required by law.Greenbatt Company reminds whistleblowers to ensure the authenticity and accuracy of the feedback information, and if necessary, please assist Greenbatt Company in the internal investigation and verification of your feedback information. If the feedback information is obviously misleading and malicious, it may cause  terminate cooperation immediately.
